Mr. Michael A. Parsons, President, CEO & Director: Mr. Parsons has been involved in the oil and gas development business since 1994, when he formed KYRO, Inc., a California oil & gas company, a predecessor company to ROKY. KYRO’s business model was to participate in “Industry Deals” with various Independent Oil & Gas Operators under industry terms by purchasing non-operated direct working interests in these operators’ prospects.
Mr. Parsons has had continued success in the oil and gas development business having worked with numerous operators to find and develop in excess of 250 wells. Prior to getting involved in the oil and gas development business, Mr. Parsons worked as a financial planner specializing in tax planning for his clients since 1975. He has held N.A.S.D. Securities, Real Estate, and Insurance licenses in California and has been a general partner in numerous; real estate, energy, and tax shelter limited partnerships over this timeframe.
Mr. James W. Casparie, EVP, Business Development & Director: Mr. Casparie began his affiliation with ROKY Operating in 2006 when he took them on as a client of TVA Capital, LLC where Mr. Casparie was a Managing Principal. Over the next five years, Mr. Casparie and Mr. Parsons developed a close working relationship as they funded several projects in the oil and gas industry and one precious metals mine. In 2011, Mr. Casparie decided to retire from his broker-dealer and devote his time to working with Mr. Parsons to support their previous projects and to seek out new projects to fund. Mr. Casparie is well known in the investment community as having developed several due diligence processes for screening investments and he has written numerous articles for such publications as Forbes and Entrepreneur magazine. He’s served on many boards including such entities as: St. Joseph’s Hospital, The Forum for Corporate Director’s, Tech Coast Venture Network and many others.
Mr. Elliot Reiff, CFO: Mr. Reiff has over 30 years of finance, investment banking and senior management experience. He was a Founder and Managing Partner of TVA Capital, a FINRA registered Broker Dealer investment bank providing advisory services and access to the capital markets. Mr. Reiff represented TVA’s primary client ROKY with structuring and raising capital for a series of resource development projects, and advised early stage companies seeking equity, debt and bridge capital through private placements. Mr. Reiff served as COO and CFO for 12 years at Geneva Companies, a $150mm provider of M&A services to privately owned businesses. He was Supervising Principal and FINOP of Geneva’s BD, supervising over 75 registered reps executing $1+ billion of transactions annually in all industries throughout the U.S. Mr. Reiff held senior positions at the NJ and PA Housing Finance Agencies with responsibility for bond financing, multifamily underwriting, credit enhancement vehicles and restructurings. Mr. Reiff received a Master’s of Regional Planning from Penn State University and a Bachelor of Mechanical Engineering from City College, New York.
Mr. Michael Cooper, IT Director: Mr. Cooper has spent the last 33 years dedicated to the art of information management. He has expertise in both hardware and software management as well as a strong background in network architecture. He is a specialist in information and data process management. He has practiced his craft in many industries including medical device manufacturing, property management, benefits administration, online gaming and cable TV. He spent many years in private practice as a data architect creating information management systems that executives relied on to run those companies. Many of the data management systems he’s created are still in use today. He came to us from DIRECTV where he was managing the ongoing development of their billing software.
Mr. Timothy J. Koziol, Director: was the founding CEO and COB of a publicly held environmental services company which he sold to a Carl Icahn owned firm. He began by restructuring the platform entity and completed a turnaround prior to building a premier senior executive team. In the turnaround process, Mr. Koziol implemented accounting controls and systems to monitor the day-to-day financial position of the company, changed operational policies to improve efficiencies, and implemented new sales and marketing programs to increase revenue. He then brought in a private equity sponsor, and drove growth from $2M to $35M in six years through the acquisition of seven underutilized assets driving both organic and synergistic growth. He also raised $75+ million in capital. As CEO of a waste water treatment facility in the Rocky Mountain region he completed a financial restructuring with the senior secured lender and created a greenfield strategy to expand into multiple facilities.
Prior to the environmental services companies, Mr. Koziol was a principal of Fortress Funding, Inc., an asset based lending company, where he was responsible for business development and underwriting. Mr. Koziol was also a principal in Global Vantage, Ltd., an investment banking firm located in Newport Beach, CA. Prior to his work in the financial services industry, Mr. Koziol managed a marketing consulting firm for national and regional clients. As a project manager Mr. Koziol built a division for Waste Management, Inc. in their hazardous waste arena in the Western Region. He has a BA from Wheaton College in Speech Communications and a MA (Magma Cum Laude) from the Wheaton Graduate School in Mass Communications.
